These Terms of Service (the "Terms") are a legally binding agreement between you ("you" or "your") and EcoMedica Group, LLC ("EcoMedica," "we," "us," or "our"). These Terms govern your access to and use of the website located at https://www.ecomedicasolutions.com (the "Site") and the automated SMS text-back and patient-communication service we provide to dental practices (the "Service").

1. Acceptance of These Terms

By accessing or using the Site or the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Site or the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. About Our Service

EcoMedica provides an automated SMS text-back and patient-communication service that helps dental practices respond to missed calls, deliver booking links, and route patient inquiries. The Service is provided to dental practices and their authorized personnel. We may modify, suspend, or discontinue any part of the Service at any time, with or without notice.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Site and the Service. By using the Service, you represent and warrant that you meet these requirements.

4. Accounts and Registration

To use certain features of the Service, you may be required to create an account. You agree to provide accurate, current, and complete information and to keep your account information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.

5. Acceptable Use

You agree not to use the Site or the Service to:

  • Violate any applicable law or regulation, including laws governing telemarketing and text messaging, such as Canada's Anti-Spam Legislation (CASL) and, where applicable to messages sent to or from the United States, the Telephone Consumer Protection Act (TCPA);
  • Send unsolicited or unauthorized messages, spam, or messages to individuals who have not consented to receive them;
  • Transmit any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable;
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
  • Interfere with or disrupt the integrity or performance of the Service, or attempt to gain unauthorized access to the Service or related systems;
  • Reverse engineer, decompile, or disassemble any portion of the Service;
  • Use the Service to store or transmit protected health information (PHI) in a manner inconsistent with applicable law or your agreements with us.

6. SMS and Communications Consent

If you are a dental practice using the Service, you are solely responsible for obtaining all consents required by applicable law before sending text messages to your patients, and for the content of those messages. Depending on your location and your patients' location, this may include obligations under CASL and, for messages connected to the United States, the TCPA. You represent and warrant that you have obtained such consents and that your use of the Service complies with all applicable laws and regulations.

If you are a patient or other recipient of messages sent through the Service, you may opt out of receiving text messages at any time by replying "STOP." Message and data rates may apply.

7. Fees, Billing, and Payment

Certain features of the Service may be provided on a paid subscription basis. Fees are described at the time of purchase and may be subject to change. You agree to pay all applicable fees and authorize us (or our payment processor) to charge your chosen payment method. All fees are non-refundable except as required by law or as expressly stated in a separate written agreement.

8. Cancellation and Termination

Unless otherwise stated in a separate written agreement, subscriptions are month-to-month and you may cancel at any time. Cancellation will take effect at the end of the current billing period. We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, including if we believe you have violated these Terms. Upon termination, your right to use the Service will immediately cease.

9. Intellectual Property

The Site and the Service, including all text, graphics, logos, software, and other content, are owned by EcoMedica or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Service for their intended purposes. You may not copy, modify, distribute, sell, or create derivative works of any part of the Site or Service without our prior written consent.

10. Third-Party Services

The Service may integrate with or rely on third-party services, such as email delivery, SMS gateways, and payment processors. We are not responsible for the availability, accuracy, or practices of any third-party services, and your use of such services may be subject to their own terms and policies.

11. Healthcare Disclaimer (Not Medical Advice)

EcoMedica is not a healthcare provider and does not provide medical, dental, or clinical advice. The Service is a communication and scheduling tool only. Nothing provided through the Service is intended to diagnose, treat, cure, or prevent any condition, and it is not a substitute for professional medical advice, diagnosis, or treatment. In a medical emergency, contact your healthcare provider or call emergency services immediately.

12. Disclaimer of Warranties

THE SITE AND THE SERVICE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE OR SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

13. Limitation of Liability

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE OR SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO ECOMEDICA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

14. Indemnification

You agree to indemnify, defend, and hold harmless EcoMedica and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Site or Service, (b) your violation of these Terms, (c) your violation of any applicable law or the rights of any third party, or (d) any messages or content you send through the Service.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction of such courts.

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Effective date" at the top of this page and, where appropriate, provide additional notice. Your continued use of the Site or Service after any changes constitutes your acceptance of the updated Terms.
